Terms and Conditions

If you do not agree to the terms and conditions, you will not be able to participate in the course. You can use your login details to get information about the course. You can only have one account. If you have more than one account, all your accounts will be blocked. Depending on your contract, you will receive course materials in different formats and these materials will be provided only for the course you have chosen. There are several other terms and conditions, which are presented below. Please read them carefully before you sign up for a course.

1. Acceptance of this agreement

By clicking "Register", you ("you" or "your") agree to the terms, conditions, representations, promises, warranties and covenants contained herein (the "Agreement"). If you do not agree to the Agreement, you are not permitted to view or use in any way the content, information, products or services published, provided or made available on www.sipexe.com .The www.sipexe.com is owned, operated and controlled by ("We", "Us" or "Our").

2. Username and password

At the conclusion of this Agreement. You acknowledge and agree that your username and password ("Member Account") are for your exclusive use. Using or sharing your Member Account with another user is not permitted and will result in immediate termination of your access to the Site, Services, Content and Course Materials and termination of this Agreement.

You agree that you are solely responsible for maintaining the confidentiality of your User Account and all activities that occur under it. You agree to notify our Help Desk immediately if you learn or have reason to believe that your user account is being used in an unauthorized manner. You also agree to take all reasonable steps to stop any such unauthorized use and to cooperate with any investigation of such unauthorized use by the United States. In no event will we be liable for any claims relating to the use or misuse of your user account by third parties not under our control or for your failure to maintain the privacy and security of your user account.

3. Content and training materials

As part of the services provided on our website. We provide you with access to our content, training programs, practice tests and other information, documents and data, which may be in audio, video, written, graphic, recorded, photographic or other machine-readable formats, in connection with the certification training course for which you have enrolled (Content and Training Programs).

4. Use of the website and services

We grant you a personal, limited, non-transferable, non-exclusive and revocable license to use the Website, the Services, the Content and the Courses offered on the Website until the completion of the Certification Training Course for which you have registered or until termination of this Agreement in accordance with the terms set forth herein, whichever occurs first. The Services, Content and Course Information are provided solely for your personal, non-commercial use to assist you in completing the Certification Course for which you have registered ("Limited Purpose").

You are permitted to access the Site, Services, Content and Course Materials online and to download, save or print the Content and Course Materials for the Restricted Purpose only. You may not reproduce, transmit, distribute, sublicense, broadcast, distribute or create derivative works of the Content and Course Materials or any portion thereof in any form or through any channel or medium for any purpose other than the restricted purpose without our prior written consent.

5. Intellectual Property Rights

Although you are granted a limited, non-exclusive right to use the Site, Services, Content and Course Materials for the limited purpose set forth in this Agreement, you acknowledge and agree that we are the sole and exclusive owner of the Site, Services, Content and Course Materials and, as such, own all intellectual property and other proprietary rights in the Site, Services, Content and Course Materials.

You acknowledge and agree that this Agreement, except for permission to use the Website, Services, Content and Courseware for limited purposes, does not transfer to you in any way, shape or form any right, title or interest in or to the Website, Services, Content and Courseware, whether ownership or otherwise.

6. Use of participants' personal data

We reserve the right to show your image in any photographs, videos or other promotional material we use. We may also use your personal information to inform you about other certification courses we offer. However, we will not share or distribute your personal information with any third party marketing database or disclose your personal information to any third party, except in exceptional circumstances duly verified by a third party or if required by applicable law.

7. Limitation of liability

You expressly agree that your use of the Site, Services, Content and Materials is at your sole risk. We do not warrant that the Site or Services or access to the Content and Learning Materials will be uninterrupted or error-free, nor do we make any warranty as to the results that may be obtained from the use of the Site, Services or Content and Learning Materials or as to the accuracy or reliability of any information provided through the Site, Services or Content and Learning Materials. In no event shall we be liable for any direct, indirect, incidental, special or consequential damages arising out of the use or inability to use the Site, Services or Content and Learning Program, or to any person or entity involved in the creation, production or delivery of the Site, Services or Content and Learning Program.

The disclaimer contained in this clause applies to all damages resulting from any failure of service, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication error, theft or destruction, or unauthorized access to, alteration of, or use of recordings or other materials, whether in contract, negligence, or any other cause of action.

You specifically acknowledge that we shall not be liable for any defamatory, offensive, unlawful or illegal conduct of any third party or other user of the Site, Services or Training Content and Materials, and that the risk of damages arising from the foregoing shall be the sole responsibility of the individual user.

You agree that our liability or obligation to our affiliates, directors, officers, employees, agents and licensors, if any, arising out of any legal claim (whether in contract, tort or otherwise) in any way related to the Services or the Course Content and Materials shall not exceed the fee you paid to us for the applicable certification course.

8. Term and Termination

This Agreement shall become effective upon your acceptance of the terms of this Agreement by clicking the "ACCEPT" button and shall continue to be subject to the terms of this Agreement until you have a valid and fully paid online participant account or until your termination by us, whichever occurs first.

We reserve the right to terminate this Agreement and immediately block your access to the Content and Educational Materials by sending you written notice of such termination by email ("Immediate Termination Date") if such termination is due to your misconduct, abuse or breach of your obligations under this Agreement ("Breach"). In the event of a Breach, we shall be entitled to exercise all rights and remedies under this Agreement or applicable law or available to recover damages for any loss or claim resulting from such Breach.

The provisions of clauses 4, 7, 8 and 11 of this Agreement survive the termination of this Agreement.

9. Indemnification

You agree to indemnify and hold us, our subcontractors, licensors, directors, officers, employees and agents harmless from any and all claims, losses, damages, liabilities and expenses, including attorneys' fees, arising out of your unauthorized use of the Website, Services, Content and Training Materials or your violation of this Agreement or its provisions.

10. Waiver

The failure or delay of any party to exercise any right, remedy, power or privilege under this Agreement shall not constitute a waiver of that or any other right, remedy, power or privilege. No provision of this Agreement will be deemed waived or permitted unless the waiver or permission is in writing and signed by the party waiving or permitting the waiver or permission. A waiver of any right or consent to any breach shall not constitute a waiver of any other right or consent to any other breach.

11. Severability

If any provision of this Agreement is held invalid or unenforceable under applicable Colorado law, the remaining provisions shall remain in full force and effect and this Agreement shall be deemed to replace the invalid or unenforceable provision with a valid and enforceable provision that most closely matches the intent of the parties as expressed in the invalid or unenforceable provision.

12. Governing Law and Jurisdiction

With respect to Participants who are residents of the United States, this Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, and the courts of the State of Colorado shall have exclusive jurisdiction in any matter concerning, arising out of, or relating to this Agreement.

13. Amendments and Assignment

We reserve the right to unilaterally modify or amend this Agreement without notice. However, we will post the amended Agreement on the Site so that you will be notified of any changes, modifications, amendments, supplements or revisions to this Agreement. You acknowledge and agree that it is your responsibility to regularly check the Site for changes, modifications and amendments. Your continued use of or access to the Site, Services, Content and Educational Materials following the posting of any changes to this Agreement will constitute your acceptance of such changes.

You may not assign this Agreement or any of your rights or obligations hereunder to any third party and are solely responsible for any breach of this Agreement or its terms.

14. Entire agreement

This Agreement, together with the Privacy Policy, Return Policy, Terms of Use, Terms of Use and any other policies, guidelines and/or disclaimers posted on the Site, constitutes the entire agreement governing your use of the Site and supersedes any prior agreements with respect to all matters covered by this Agreement.
